General Terms and Conditions (GTC)

1. Scope

These General Terms and Conditions apply to all users of the BitLedger.app platform (the «Platform» or «Service»), operated by BitLedger.app (the «Provider»). By registering and using the Service, the user accepts these GTC in their version applicable at the time. Deviating terms of the user are not recognised.

2. Description of services

BitLedger.app is a software platform that helps private individuals and businesses record, classify and prepare cryptocurrency transactions for tax purposes. The platform offers:

• Import of on-chain transaction data via public APIs
• Import of exchange data (e.g. Kraken) via CSV upload or API
• Automatic classification of transactions using rules and AI
• Calculation of cost basis and realised gains/losses
• Generation of tax reports as PDF (a basis for the tax return)
• Support for the tax systems of Switzerland, Germany and Austria

The Provider reserves the right to change, extend or restrict the scope of the Service at any time, provided the user is notified in good time.

3. No tax advisory agreement

The reports, classifications and calculations produced by the platform do not constitute tax advice, legal advice or binding information vis-à-vis the tax authorities. The user is solely responsible for the accuracy and completeness of their tax return. The Provider recommends having generated reports reviewed by a licensed tax advisor or fiduciary before using them in a tax return.

4. Registration and account

Using the Service requires registration with a valid email address. The user is obliged to:

• Provide truthful and complete information
• Keep login credentials confidential and not disclose them to third parties
• Notify the Provider without delay if unauthorised access to the account is suspected
• Use the platform exclusively for their own tax purposes (no resale or commercial use without express written permission)

One account is permitted per person/business. The Provider reserves the right to suspend or delete accounts in the event of a breach of these GTC.

5. Subscription and payment

5.1 Plans

Prices for DE/AT users correspond to the EUR equivalent. All prices incl. VAT where applicable.

5.2 Billing and renewal

Subscriptions are billed annually in advance and renew automatically unless cancelled at least 24 hours before the renewal date via the customer portal (Stripe). Payment is made by credit card through Stripe.

5.3 Right of withdrawal

For digital content that is available immediately upon purchase, there is generally no statutory right of withdrawal, provided the user has expressly waived it. For subscriptions, the user may request a refund within 14 days of purchase, provided the Service has not already been used to a significant extent (no report generated, no wallet syncs performed). Such requests should be sent to support@bitledger.app.

6. Availability and support

The Provider aims for high availability of the Service but gives no guarantee of uninterrupted availability. Scheduled maintenance is announced in advance where possible. Support is provided by email to support@bitledger.app, generally with a response time of 2 business days.

7. Limitation of liability

The Provider is liable only for direct damage attributable to gross negligence or intent. To the extent permitted by law, the Provider's liability is limited to the subscription amount paid by the user in the last billing year.

In particular, the Provider is not liable for:

• Incorrect or incomplete data from third-party APIs (GoldRush, CoinGecko, SNB)
• Tax reassessments, fines or penalties resulting from use of the platform
• Errors in the AI-assisted classification
• Data loss due to events beyond the Provider's control
• Outages of third-party services (Supabase, Stripe, etc.)

8. Intellectual property

All rights to the platform, the source code, the algorithms, the design and the content belong to the Provider or its licensors. The user receives a limited, non-exclusive, non-transferable right of use for the duration of the subscription. Reverse engineering, decompilation or the creation of derivative works is prohibited without express written permission.

The data contributed by the user (wallet addresses, transactions) remains the user's property. The Provider receives the right to process this data solely for the provision of the Service.

9. Termination

The user can delete their account at any time via the settings or by email to support@bitledger.app. Paid subscriptions continue until the end of the billing period; amounts already paid are generally not refunded (exception: section 5.3).

The Provider may suspend or delete a user's account with immediate effect if the user breaches these GTC, misuses the platform or acts in violation of applicable law.

10. Changes to the GTC

The Provider reserves the right to amend these GTC at any time. Material changes are communicated to the user by email at least 30 days before they take effect. If the user continues to use the Service after the deadline, this is deemed acceptance of the amended GTC. Otherwise, the user may cancel the account.

11. Governing law and place of jurisdiction

These GTC and all legal relationships between the Provider and the user are governed exclusively by Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

For users domiciled in Switzerland, the exclusive place of jurisdiction is the Provider's registered office. For consumers in the EU, Swiss law likewise applies, without prejudice to the mandatory consumer protection provisions of the relevant EU member state; mandatory consumer protection rights remain reserved.

12. Severability

Should individual provisions of these GTC be or become invalid or unenforceable, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid one that comes as close as possible to the economic purpose of the original provision.
